Job Summary 
 
The Volunteer Corporate Secretary will provide essential administrative support to the Board of Directors, ensuring efficient and effective operations. This position requires attending all Board meetings virtually, assisting with committee meetings, and ensuring accurate documentation and timely communication. The Secretary will play a crucial role in facilitating the Board’s governance activities and will work closely with the Chair and other Board members. 
 
Key Responsibilities 
 

  • Attend all regular Board and Committee of the Board meetings virtually (12), ensuring active participation and taking accurate meeting minutes. 
  • Support with the scheduling of Board meetings and send out invitations to all members. 
  • Assist in coordinating committee meeting logistics and follow up on action items. 
  • Prepare Board meeting packages in advance, ensuring all necessary documents, agendas, reports, and relevant information are included. 
  • Maintain an organized system for all Board-related documents, including meeting minutes, agendas, and other critical records. 
  • Assist the Board Chair and other Board members with administrative tasks as required, including scheduling, reminders, and action item follow-ups. 

 
Qualifications 

  • Proven experience in administrative support, for senior-level leadership or boards is an asset. 
  • Strong organizational skills and attention to detail. 
  • Strong understanding of confidentiality and professionalism, with the ability to handle sensitive information with discretion. 
  • Excellent verbal and written communication skills. 
  • Proficient in virtual meeting platforms (e.g., Zoom, Microsoft Teams). 
  • Knowledge and experience in taking minutes and preparing official documentation. 
  • Ability to work independently, manage time effectively, and meet deadlines.
